Job Description:
The company is currently experiencing rapid growth and urgently requires an in-house legal counsel to assist with commercial contract negotiations and drafting. The company is also actively pursuing an IPO in the coming 12 months and needs someone who can lead the internal and external facing legal processes required as part of that transaction. The successful candidate will most likely be based in Hong Kong with extensive travel to both Ulan Bator and Singapore as required.

Responsibilities:

·       Organize and file corporate documents

·       Arrange and assess all types of legal documents like contracts, leases, licenses, sales, purchases, and real estate etc

·       Lead the internal due diligence process in the run up to the company’s IPO

·       Be the point person in engaging with external legal counsel and regulators as part of the IPO process

·       Actively participate in the drafting of our IPO prospectus

·       Negotiate and draft contracts

·       Manage any legal issues and support business development initiatives, including:

          - Lawsuits and settlement negotiations

          - Negotiation support for major contracts

          - Project support for legal issues in connection with acquisitions/divestitures/restructuring

·       Advise on business transactions related to internal affairs, directors, executives, stockholders, and corporate relationships

Requirements:

·       Must have 6 or more years of substantive law firm and/or in-house legal experience

·       Prior experience at a big law firm with RE capital markets or emerging capital markets transaction execution experience will be required

·       Excellent client management and communication skills. Personal credibility and the ability to articulate legal positions and strategies concisely and quickly

·       Considerable executive presence and excellent interpersonal skills, with the ability to work well in a fast-paced, self-directed and highly collaborative team environment

·       Commercial common sense and a strong entrepreneurial streak are essential

·       Strong problem solving skills with the ability to quickly assess potential for risk and opportunity and offer practical business solutions to reach resolution

·       Possesses strong work ethic

·       Ability to work effectively with all levels of management, to manage multiple projects simultaneously

·       Experience with compliance-related issues and demonstrated ability to, design, implement and effectively communicate and enforce compliance and legal policies and procedures.

·       Proven track record of strong negotiation, communication, organizational, and people management skills and the ability to influence and build relationships without direct authority

·       Experience in interfacing with overseas and local counterparts will be an advantage

·       Excellent command of spoken and written English
