ClearlySo is a leading Social Investment financial intermediary, providing corporate finance advisory and capital raising services to social enterprises and impact investors.

The Deal Manager will contribute towards the sourcing, execution and distribution of new capital raising mandates, with primary responsibility for transactions involving early stage social enterprises seeking up to £1m equity from ‘angel’ and individual investors.

Main areas of responsibility

The role will entail:

  • Participating in the origination of new deals, screening opportunities from the ClearlySo website and word-of-mouth referrals; and proactive origination, working with deal-flow partners as well as undertaking sector- or theme-driven research;
  • Undertaking initial due diligence (review of business plan, financial projections and meetings with enterprise) to establish investment readiness of potential social enterprise clients;
  • Supporting clients to develop their proposition, including contribution, where appropriate, to the writing of business plans, pitch materials and projections;
  • Introducing enterprises to potential investors and accompanying both through the investment process including coordination of the due diligence process;
  • Leading the sales campaign to appropriately match enterprises with potential investors and facilitating the negotiation of investment terms;
  • Project management of the transaction process, including the oversight of professional advisors;
  • Developing and maintaining a strong network of external relationships (entrepreneurs, investors and advisors);
  • Playing a role in the wider ClearlySo business including attendance at commitment committees and other meetings, and, where applicable, contributing to the execution of transactions into our institutional investor network.

Required/Desired Skills and Experience

A successful candidate will have:

  • Experience with Venture Capital or mid-market Private Equity deals (as an advisor or an investor), private banking or investment management, family offices, or investment banking.
  • Experience of structuring and executing financial transactions (debt, equity etc) for early stage, growth and/or established small and medium-sized businesses.
  • Experience and understanding of the specific challenges facing entrepreneurs including legal and corporate structure and governance issues and team building,
  • Commitment to the social sector, combined with the ambition and resilience to join a small and entrepreneurial team in a new and rapidly growing sector.
  • Excellent communication and interpersonal skills, with a proven ability to build strong relationships at all levels and manage multiple stakeholders through a transaction;
  • Excellent project management and problem solving skills, including the ability to think creatively to structure deals

Other desired Skills and Experience

  • Experience of social enterprise
  • Knowledge of CRM systems
  • Experience in building financial models in Excel with full financial statements (P&L, cashflow, balance sheet) to value companies and model capital structure
  • Business coaching/mentoring skills
