Role Description 

We are looking for a talented, ambitious and highly-qualified lawyer with a strong interest in the sustainability and renewable energy sectors to provide legal support to the renewable energy projects across our group of businesses. We are a small team with a broad remit, so you will be a highly-motivated self-starter prepared to take on the wide variety of legal issues that come across your desk each day. This role will be based in London (though we would also consider a Dutch or German resident) and report to the General Counsel.

Key Responsibilities

  • The Corporate Legal Counsel will be engaged in the provision of legal advice and support on the full spectrum of Low Carbon’s activities.  This broad remit will include:  
  • Structuring, review, negotiation, execution and ongoing management of/compliance with:
    • M&A and joint venture arrangements
    • Project contracts, including lease options, EPC contracts, O&M contracts, PPAs, asset management agreements, etc.
    • Corporate, financing and fund structuring arrangements
    • Commercial contracts, including NDAs, exclusivity agreements, consultancy agreements etc.
  • Implementing corporate actions and reorganisations (e.g. dividends, share allotments, buy backs, amendment of Articles, board composition etc.)
  • Overseeing company secretarial function in conjunction with the Legal & Compliance Associate
  • Provision of strategic and commercial legal advice and support across all areas of the business and group functions, as required (e.g. HR, finance, audit, marketing, procurement and systems/operations)
  • Monitor and stay updated on changes in laws, regulations, and industry best practices related to renewable energy projects in the UK and other jurisdictions where Low Carbon operates, and provide proactive legal advice to mitigate legal risks
  • Assisting in the development and implementation of:
    • Internal governance processes and policies
    • Legal technology and other process efficiencies
  • Managing external legal advisors and associated fees
  • Assisting with the management of legal disputes and settlements (as required)

 Person Specification

  • A positive self-starter with a proactive, solutions-focussed, and can-do attitude
  • An engaging and robust communicator, able to build trusted relationships with people at all levels
  • Sound judgment, commercial awareness and confidence in analytical skills
  • Ability to prioritise competing workloads and work under pressure with minimal supervision
  • Willingness to act decisively and take responsibility for own work
  • Energetic, reliable, adaptable and used to using their initiative
  • Highly organised, great attention to detail and a focus on getting things done
  • High degree of professional ethics and integrity

Skills & Experience

  • UK qualified 3-7 PQE lawyer (guidance – other PQE levels with the appropriate skillset and expertise will also be considered)
  • Solid corporate training from a law firm or equivalent
  • Currently in-house or in private practice – preferably with some in-house experience (e.g. a secondment)
  • Law degree or equivalent
  • Infrastructure (particularly renewables) experience would be a bonus
  • Fluent English speaker – other European languages (Dutch, German or Polish, in particular) would be an advantage, but not a requirement
