What will you be doing?


Corporate Governance

Provide guidance and support to the board of members and executive team on corporate governance matters, ensuring compliance with relevant laws, regulations, and best practices. Coordinate and organise board and committee meetings, preparing and distributing agendas, minutes, and supporting documentation. Assist in the development and implementation of corporate governance policies, procedures, and codes of conduct. Monitor changes in corporate governance regulations and advise the ROMILDAMOR Foundation on any necessary actions or adjustments.

Legal Compliance

Ensure compliance with statutory and regulatory requirements, including maintaining and filing necessary documents and returns with relevant government agencies. Maintain an up-to-date knowledge of laws, regulations, and industry standards that impact the ROMILDAMOR Foundation's operations. Assist in the drafting and reviewing of legal agreements, contracts, and other legal documents, ensuring accuracy and compliance with applicable laws.

Corporate Secretarial Duties

Maintain accurate and up-to-date corporate records, including registers of members, shareholders, and other relevant records. Prepare and file annual returns, resolutions, and other necessary documents with regulatory authorities. Act as the primary point of contact for members, ensuring effective communication and providing assistance as required. Facilitate the ROMILDAMOR Foundation's compliance with corporate policies, procedures, and relevant constitutional documents.

Board Support and Communication

Assist in the induction and onboarding of new board members, providing them with relevant information, documentation, and support. Coordinate and disseminate board-related communications, including meeting notices, updates, and resolutions. Liaise with board members, ensuring their access to accurate and timely information necessary for decision-making. Support the board chairperson in the efficient functioning of the board and its committees.

What are we looking for?

As the Company Secretary, you will play a crucial role in ensuring legal compliance, effective governance, and efficient administration of the ROMILDAMOR Foundation. You will work closely with the executive team and board of members, providing expert advice, managing regulatory requirements, and maintaining accurate corporate records. This role requires a meticulous attention to detail, strong communication skills, and a comprehensive understanding of corporate governance principles and practices.   Please note we require a 12 month commitment for this role.   Qualifications and Skills

Extensive experience as a Company Secretary, preferably in a similar organisational setting. In-depth knowledge of corporate governance principles, regulations, and best practices. Strong understanding of legal and compliance requirements for CIC's, Charities & NGOs. Excellent organisational and time management skills, with the ability to prioritise and manage multiple tasks simultaneously. Meticulous attention to detail and accuracy in maintaining corporate records and preparing legal documents. Effective communication and interpersonal skills, with the ability to build relationships and work collaboratively with stakeholders at all levels. Analytical and problem-solving skills, with the ability to anticipate and address governance-related issues. Professional certification as a Company Secretary or relevant legal qualification is desirable.
